These Terms of Service (“Terms”) govern your access to and use of the OnePatch website and platform (the “Service”) provided by OnePatch (“OnePatch,” “we,” “us,” or “our”). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
If you and OnePatch have a separate signed master services agreement (“MSA”) or order form, that agreement governs and controls over these Terms to the extent of any conflict.
OnePatch is an AI site-reliability platform that ingests the OpenTelemetry logs, metrics, and traces you send it and uses them to build dashboards, evaluate monitors, detect incidents, and assist your team with reliability work. We may update, improve, or modify the Service over time.
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account and for your authorized users’ compliance with these Terms. Notify us promptly at security@onepatch.dev of any unauthorized use.
You agree not to: (a) use the Service in violation of any law or third-party right; (b) upload data you lack the right to submit; (c) attempt to gain unauthorized access to the Service or other customers’ data; (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer the Service except as permitted by law; or (f) use the Service to build a competing product.
“Customer Data” means the telemetry and other content you submit to the Service. As between the parties, you retain all rights in Customer Data. You grant OnePatch a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide and improve the Service and as otherwise instructed by you. Our handling of personal data within Customer Data is described in our Privacy Policy and, where applicable, a Data Processing Addendum. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to submit it.
The Service, including all software, documentation, and OnePatch trademarks, is owned by OnePatch and its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.
Paid plans are billed as described in your order form or plan selection. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing prospectively with reasonable notice.
Each party may access confidential information of the other. The receiving party will protect it using reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by confidentiality obligations, or as required by law.
The Service relies on third-party providers (including our hosting, AI, telemetry-storage, and identity subprocessors listed in our Privacy Policy). Your use of any third-party integrations you connect is subject to those providers’ terms.
We will provide the Service with reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND ONEPATCH DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OnePatch does not warrant that the Service will be uninterrupted or error-free. The Service assists with, but does not replace, your own operational judgment.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ONEPATCH FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You will defend and indemnify OnePatch against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms, except to the extent caused by OnePatch.
These Terms apply while you use the Service. Either party may terminate for material breach that is not cured within 30 days of notice. We may suspend access to address a security risk or violation of these Terms. On termination, your right to use the Service ends and we will make Customer Data available for export for a limited period, after which we may delete it.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date; your continued use of the Service after changes take effect constitutes acceptance.
